1. The following are some of the standard terms and conditions of sale applicable between Smith Mining Equipment (Pty) Limited, herein referred to as “Smith Mining” and any person or persons with whom and at whose request or on whose behalf the company undertakes any business, advice, information or service, herein after referred to as “the customer”.

2. The full set of terms and conditions applicable to transactions entered into between the company and its customers are available from Smith Mining upon request.

3. In the event of Smith Mining extending credit facilities to the customer, it is a condition of any agreement between Smith Mining and the customer that until such time as the customer has paid in full for the goods supplied by Smith Mining, Smith Mining will remain the exclusive and sole owner of the goods supplied by it. In this regard the customer acknowledges that this clause does not confer any right upon the customer to return any goods for credit, but only confers upon Smith Mining a reservation of ownership in respect of the goods until payment in full is received by Smith Mining. Risk in and to the goods shall however pass to the customer on delivery, where a customer has however nominated a courier or carrier for the purposes of the transportation of goods sold by Smith Mining to the customer, then in such an event risk in and to goods shall pass to the customer upon Smith Mining delivering the goods to the nominated courier or carrier.

4. Unless specifically arranged, the customer acknowledges that credit facilities granted are payable strictly within 30 days from date of statement which date shall be deemed to be the last day of every month. Such payments shall not be withheld or deferred on account of any claim, counter claim or set off.

5. If any amount is not paid within the agreed term the customer shall be liable for interest at the maximum rate permitted by law from time, including, without limiting the generality thereof, the Usury Act, No.73 of 1968, and the Credit Agreements Act aforesaid, the interest shall be added to the principle sum and the whole amount shall form the principle debt which shall bear interest as aforesaid.

6. Should Smith Mining agree to accept the return of any goods for credit, the customer shall be liable to pay Smith Mining a handling charge of 15% on the invoiced price of the goods so returned.

7. Every customer engaging Smith Mining shall be deemed to have warranted that he has the authority to engage Smith Mining as owner or authorised agent on behalf of the persons referred to in paragraph 1 above and shall be deemed to accept the terms and conditions of trade of Smith Mining which may be obtained upon request from Smith Mining.

8. It is a condition of each sale that goods are sold “voetstoots” and Smith Mining shall not be liable for any defects, latent or otherwise and no sale shall be subject to any warranties made by Smith Mining be they either express or implied.
